End User License Agreement

This End User License Agreement (“Agreement”) is between you and Blackstone Analytics, LLC (“Blackstone,” “we,” “us”) for the desktop software known as EV Capital Tool (the “Software”).
By installing, copying, or using the Software, or by clicking Connect to QuickBooks, you agree to this Agreement. If you do not agree, do not use the Software.
1. License
Blackstone grants you a limited, revocable, non-exclusive, non-transferable license to use the Software on Windows computers for internal business purposes of Blackstone Analytics, LLC and its affiliates (including cash-runway analysis for companies you are authorized to access).
You may copy the Software folder internally for partners who are authorized users. You may not sell, sublicense, or publicly distribute the Software, and you may not reverse engineer it except as allowed by law.
2. What the Software does
EV Capital Tool is a local cash-runway and operating-model tool. It can connect to QuickBooks Online through Intuit’s OAuth 2.0 API with read-only accounting access. It never creates, modifies, or deletes QuickBooks transactions.
Projections, break-even dates, and “what-if” results are estimates based on your books plus assumptions you enter (rigs, rates, utilization, collection days). They are not audited financial statements, tax advice, or a promise of future cash.
3. QuickBooks / Intuit
- You must have a valid QuickBooks Online subscription and authority to connect the company file.
- QuickBooks® is a registered trademark of Intuit Inc.
- Your use of QuickBooks remains governed by Intuit’s terms.
- Intuit Inc. is not a party to this Agreement and is not responsible for the Software, its accuracy, or any loss arising from its use.
4. Your responsibilities
- Keep Client ID, Client Secret, and OAuth tokens confidential. Do not email them or zip them with the .exe you share.
- Use Production keys only for live company files and Sandbox keys only for Intuit sandbox companies.
- Verify figures against QuickBooks before making payroll, loan, or operational decisions.
- Comply with applicable accounting, tax, and data-protection laws.
5. Privacy
How the Software handles QuickBooks data is described in the Privacy Policy. Tokens are stored on the local PC (Windows DPAPI). The Software does not host your books on a Blackstone server.
6. Disconnect
You may disconnect at any time:
- In the Software, open the QuickBooks tab and click Disconnect.
- In QuickBooks Online: Settings → Apps (or Connected apps) → disconnect EV Capital Tool / the Intuit app you authorized.
After disconnect, the Software can still be used with CSV/Excel exports you drop in manually.
7. No warranty
THE SOFTWARE IS PROVIDED “AS IS.” BLACKSTONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that cash-runway dates will match actual bank balances or that Intuit’s API will remain available.
8. Limitation of liability
To the maximum extent permitted by law, Blackstone and its members, officers, and contractors will not be liable for lost profits, lost cash, payroll shortfalls, lost data, or any indirect, incidental, or consequential damages arising from the Software or from reliance on its projections. Direct damages, if any, are limited to fifty U.S. dollars (US $50).
9. Term
This license continues until you stop using the Software or Blackstone terminates it. Sections 7–11 survive termination. Uninstalling or deleting the application folder ends the license for that copy; it does not automatically revoke Intuit access until you Disconnect or revoke the app in QuickBooks.
10. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue is the state or federal courts serving Kerr County, Texas.
